Terms of Service

1. The Services

Redy provides point-of-sale software, payment processing facilitation, and the Redy Order marketplace for restaurants and counter-service businesses ("Merchants"). Customers ("Guests") who transact at a merchant location or through the Redy Order platform interact with Redy as part of completing their purchase.

2. Merchants

By creating a Redy account, you represent that you are authorized to operate a business and enter into agreements on its behalf. You are responsible for:

• Maintaining the security of your account credentials
• Ensuring your employees use the Services in compliance with these Terms and applicable law
• Complying with all applicable laws, including payment card industry standards and consumer protection laws
• Obtaining proper customer consent before sending any SMS communications through the platform, and not modifying a customer's phone number without that customer's explicit request

3. Payments

Redy facilitates payment processing through North (PayAnywhere). Payment transactions are between you and the merchant. Redy is not a party to the transaction and is not responsible for disputes between merchants and guests.

4. Marketplace & Food Liability

The Redy Order marketplace allows Guests to discover and order from independent Merchants. Redy is a technology provider and does not prepare, handle, store, or deliver any food or beverages. The Merchant is solely responsible for compliance with all health and safety regulations, food quality, accurate allergen warnings, order fulfillment, and issuing refunds. Redy disclaims all liability for illness, injury, or damages arising from products purchased from Merchants through the Services.

5. SMS communications

By providing your phone number at the point of sale, you consent to receive transactional SMS messages from the merchant using Redy POS. These messages include order receipts and order confirmations.

6. Intellectual property

Redy and its logo are trademarks of Kickoff Business Solutions LLC. The software, design, and content of the Services are protected by copyright. You may not copy, modify, or distribute any part of the Services without our written permission.

7. Disclaimer of warranties

The Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, Redy's aggregate liability to you shall not exceed the fees you paid to Redy in the twelve months preceding the claim. Redy is not liable for indirect, incidental, special, or consequential damages.

9. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law provisions.

10. Changes to these Terms

We may update these Terms from time to time. The updated Terms will be posted at this URL with a new effective date. Continued use of the Services after the effective date constitutes acceptance.
